A Wholly Foreign-Owned Enterprise (WFOE) refers to a limited liability company solely funded by foreign investors, approved by the people's government for establishment, and operating in compliance with the articles of association with investors performing their corresponding responsibilities. It is independently operated by the foreign party, who retains all profits and bears all operational risks. Investors include foreign enterprises or individuals, as well as individuals and enterprises from Hong Kong, Macao and Taiwan regions.

Q: 新公司法下，外资公司注册资本认缴期限最长多久？ / What is the maximum subscription period for registered capital of foreign-invested companies under the new Company Law?
A: 新设外资企业注册资本认缴期限统一不得超过 5 年，与内资企业保持一致。/ The subscription period for registered capital of newly established foreign-invested enterprises shall not exceed 5 years, consistent with domestic enterprises.
Q: 公司可以用外币出资吗？ / Can capital contribution be made in foreign currency?
A: 可以。境外股东可以用可自由兑换的外币出资，也可用实物、知识产权、土地使用权等可以用货币估价并可以依法转让的非货币财产作价出资。/ Yes. Overseas shareholders may make capital contribution in freely convertible foreign currency, or in kind, intellectual property, land use rights and other non-currency properties that can be valued in currency and transferred according to law.
Q: 外资公司注册有最低注册资本要求吗？ / Is there a minimum registered capital requirement for WFOE registration?
A: 目前大部分行业已实行认缴制，无最低注册资本要求，但建议根据实际经营需要和行业标准合理确定。/ Most industries have implemented subscription system with no minimum registered capital requirement, but it's recommended to determine reasonably based on actual business needs and industry standards.
Q: 外资公司经营范围怎么写才合规？ / How to write the business scope of a WFOE in compliance?
A: 经营范围应当符合《外商投资准入特别管理措施（负面清单）》规定，不得从事禁止外商投资的行业。建议参考国民经济行业分类标准规范表述。/ The business scope shall comply with the "Special Administrative Measures for Foreign Investment Access (Negative List)" and shall not engage in industries prohibited for foreign investment. It is recommended to refer to the national economic industry classification standards for standardized expression.
Q: 外资公司可以用实物、知识产权出资吗？ / Can a WFOE make capital contribution in kind or intellectual property?
A: 可以。股东可以用实物、知识产权、土地使用权等可以用货币估价并可以依法转让的非货币财产作价出资，但需要经评估机构评估作价。/ Yes. Shareholders may make capital contribution in kind, intellectual property, land use rights and other non-currency properties that can be valued in currency and transferred according to law, but they need to be valued by an evaluation agency.
Q: 新公司法对外资公司的公司章程有哪些新要求？ / What new requirements does the new Company Law have for the articles of association of WFOEs?
A: 公司章程必须明确记载：公司法定代表人、注册资本、股东认缴和实缴的出资额、出资方式和出资日期、公司董事监事高级管理人员的任职条件和产生程序等。/ The articles of association must clearly state: the company's legal representative, registered capital, the amount of capital subscribed and actually paid by shareholders, the method and date of capital contribution, and the conditions and procedures for the appointment of directors, supervisors and senior executives.
Q: 境外股东需要做公证认证吗？ / Do overseas shareholders need notarization and authentication?
A: 需要。境外法人/自然人股东的身份证明文件，须经当地公证 + 中国驻外使领馆认证（或符合海牙认证）/ Yes. IDs of foreign individuals/entities require local notarization + legalization by Chinese embassies/consulates (or comply with Hague Apostille).
Q: 外资公司必须设立董事会吗？ / Is a board of directors required for a WFOE?
A: 有限责任公司可以设董事会，也可以只设一名执行董事。规模较大或股东人数较多的公司建议设立董事会。/ A limited liability company may establish a board of directors or appoint only one executive director. It is recommended to establish a board of directors for companies with larger scale or more shareholders.
Q: 外资公司注册地址可以用虚拟地址吗？ / Can a WFOE use a virtual address for registration?
A: 多地收紧虚拟地址监管，优先使用实际经营地址。使用虚假地址注册属于违法行为，可能被列入经营异常名录。/ Supervision on virtual addresses has been tightened in many regions. Actual business addresses are preferred. Using a false address for registration is illegal and may be included in the list of abnormal operations.
Q: 外资公司逾期不出资会有什么后果？ / What are the consequences of failing to make capital contribution on time for a WFOE?
A: 股东应按期足额缴纳公司章程规定的各自所认缴的出资额。逾期不缴纳的，需承担违约责任，可能面临罚款、公司解散风险，并影响企业信用记录。/ Shareholders shall pay the subscribed capital in full and on time. Failure to pay on time shall bear breach of contract liability, may face fines, company dissolution risk, and affect the enterprise's credit record.
