A Foreign Enterprise Resident Representative Office in China (hereinafter referred to as the "Representative Office" or "RO") is an institution established in China by a foreign enterprise to conduct non-direct business activities on behalf of its parent company, such as business liaison and market research. A Representative Office does not possess independent legal personality; its civil liabilities are borne by its parent company.
代表处设立条件 | Conditions for Establishing a RO
- 投资者资信良好，无不良记录 / The investor must have good credit standing with no adverse records
- 企业成立满两年 / The enterprise must have been established for at least two years (evidenced by a business license or equivalent document)
- 在中国境内有固定的办公场所 / Must have a fixed office premise in China
- 有指定首席代表 / A Chief Representative must be appointed, and other representatives may also be appointed.

A: 代表处是境外企业在中国设立的常驻代表机构，不具有独立法人资格，民事责任由母公司承担。代表处不得从事直接经营活动，不能签订合同、开具发票、收取服务费用，只能从事业务联络、市场调研、技术交流等非营利性活动。/ A representative office is a resident representative institution established by an overseas enterprise in China, without independent legal personality, and civil liabilities are borne by the parent company. Representative offices shall not engage in direct business activities, cannot sign contracts, issue invoices, or collect service fees. They can only engage in non-profit activities such as business liaison, market research, and technical exchanges.
Q: 设立代表处，母公司需要满足什么条件？ / What conditions must the parent company meet to establish a representative office?
A: 母公司需为合法注册的境外企业，资信良好无不良记录，企业成立满两年（以营业执照或同等文件为准），在中国境内有固定办公场所，并指定首席代表。/ The parent company must be a legally registered overseas enterprise with good credit standing and no adverse records, established for at least two years (based on business license or equivalent document), have a fixed office premise in China, and appoint a chief representative.
Q: 代表处对注册地址有什么要求？ / What are the requirements for the registered address of a representative office?
A: 代表处必须有真实、有效的固定办公场所，地址应当能够联系并接受核查。多地已收紧虚拟地址监管，建议使用实际经营地址。/ A representative office must have a true and valid fixed office premise, and the address shall be contactable and subject to verification. Supervision on virtual addresses has been tightened in many regions, and actual business addresses are recommended.
Q: 代表处可以聘用中国员工吗？ / Can a representative office hire Chinese employees?
A: 可以。代表处可以通过外服机构（如 FESCO）聘用中国员工，或与员工直接签订劳动合同。代表处需为员工缴纳社会保险和住房公积金。/ Yes. Representative offices can hire Chinese employees through foreign service agencies (such as FESCO) or sign labor contracts directly with employees. Representative offices must pay social insurance and housing provident fund for employees.
Q: 代表处对首席代表和代表的人数有规定吗？ / Are there requirements for the number of chief representatives and representatives?
A: 代表处必须指定一名首席代表，可以另设若干名代表。首席代表和代表由母公司任命，无国籍限制，但需办理相关任职手续。/ A representative office must appoint one chief representative and may appoint several other representatives. The chief representative and representatives are appointed by the parent company with no nationality restrictions, but relevant appointment procedures must be handled.
Q: 境外母公司文件需要公证认证吗？ / Do documents from the overseas parent company need notarization and authentication?
A: 需要。境外母公司的主体资格证明、首席代表任命书等文件，须经所在国家或地区公证机关公证，并经中国驻该国使（领）馆认证，或履行有关条约规定的证明手续。/ Yes. Documents such as the qualification certificate of the overseas parent company and the chief representative appointment letter must be notarized by a notary agency in the country or region where they are located, and authenticated by the Chinese embassy or consulate in that country, or go through certification procedures stipulated in relevant treaties.
Q: 代表处有注册资本要求吗？ / Is there a registered capital requirement for a representative office?
A: 代表处不是独立法人，没有注册资本要求。但母公司需承担代表处的运营费用和民事责任。/ A representative office is not an independent legal person and has no registered capital requirement. However, the parent company must bear the operating expenses and civil liabilities of the representative office.
Q: 代表处的经营范围一般怎么写？ / How to write the business scope of a representative office?
A: 代表处经营范围应限定为非直接经营活动，如：从事与母公司业务相关的联络、市场调研、技术交流、产品推广等。不得从事营利性活动。/ The business scope of a representative office shall be limited to non-direct business activities, such as: liaison related to the parent company's business, market research, technical exchanges, product promotion, etc. Profit-making activities are not allowed.
Q: 代表处需要每年年报吗？ / Does a representative office need to file an annual report?
A: 需要。代表处应当于每年 1 月 1 日至 6 月 30 日，通过企业信用信息公示系统向登记机关报送上一年度年度报告，并向社会公示。/ Yes. A representative office shall submit the annual report for the previous year to the registration authority through the enterprise credit information publicity system from January 1 to June 30 each year, and make it public to the society.
Q: 代表处和外资公司（WFOE）怎么选？ / How to choose between a representative office and a WFOE?
A: 代表处设立简单、成本低，但不能直接经营、开发票，适合市场调研、业务联络阶段。外资公司（WFOE）可独立经营、开具发票、招聘员工，适合长期在中国开展业务。建议根据业务需求和发展规划选择。/ A representative office is simple to establish and has low costs, but cannot directly conduct business or issue invoices, suitable for market research and business liaison stages. A WFOE can operate independently, issue invoices, and hire employees, suitable for long-term business in China. It is recommended to choose based on business needs and development plans.
